Beneficial ownership reporting for foreign-formed entities
US domestic companies are currently exempt from FinCEN’s beneficial ownership reporting. Entities formed abroad and registered to do business in a US state are not — and the reporting window is short.
This exemption was set by an interim final rule in March 2025. FinCEN has signalled it intends to finalize the rule — worth confirming your status each year rather than assuming it.
The rule changed twice in two years, and it isn’t finished changing
Beneficial ownership reporting has moved from covering almost every US entity to covering only foreign-formed ones registered to trade here. That is good news for most domestic owners, and no reason at all for foreign-formed entities to relax.
